• AW Solutions, Inc. and AW Solutions Puerto Rico, LLC – Provides best-in-class communications infrastructure deployment services to carriers, OEMs, PMOs, utilities and enterprise clients by offering discrete and full turnkey service solutions for wireless and wireline clientele. AW Solutions holds professional engineering licenses in all contiguous states and in the District of Columbia and Hawaii; the Canadian provinces of British Columbia, Quebec, Ontario, Alberta and Newfoundland and Labrador; in Puerto Rico, Guam and the U.S. Virgin Islands.
• ADEX Corporation and ADEX Puerto Rico, LLC – An international service organization providing turnkey services and staffing solutions to telecommunications carriers and enterprise clients. Since 1993, ADEX has been assisting telecommunications companies throughout the project life cycle of any network deployment. ADEX and its service capabilities extend from the most basic installation functions to the most advanced engineering disciplines for today and tomorrow's communications networks. Headquartered in Atlanta, Georgia, ADEX employs technical professionals and provides infrastructure services worldwide via domestic and international locations.
• Tropical Communications, Inc. – A state licensed electrical and underground utility contractor headquartered in Miami, Florida, providing all types of communications and infrastructure facility structured wiring services and solutions since 1984.

Through its subsidiaries, Spectrum Global Solutions is a comprehensive single-source provider for professional services and solutions for the development, deployment and maintenance of wireless/Distributed Antenna System (DAS)/small cell/wireline and fiber networks and infrastructure. The company's services range in scope from a single activity to multiyear, multi-region, large-scale turnkey development contracts with a deepening pool of international, national, regional and local projects. Spectrum Global Solutions has completed more than 150,000 project activities on wireless, DAS, wireline and fiber networks across the United States utilizing licensed professional engineers, project managers, technicians and general contractors.

Market Opportunity

Growth projections for the telecom industry show a high growth cycle 2018 through 2025 with a four-fold increase in domestic mobile data traffic and up to $150 billion in fiber investment over the next 5-7 years (Deloitte, 2017). The worldwide explosion of smart phones, tablets and BYOD by customers demanding rapid deployment of new apps, private networks with better coverage and enhanced capacity provides a compelling enterprise opportunity market. The imminent rollout of 5G next generation networks, IOT (Internet-Of-Things) technology deployments, the FirstNet national public safety system, small cell/network densification, Dish Network Deployment, fiber and infrastructure network builds for backhaul and expanded deployments, new FCC spectrum auctions and upgrades to 4G, DAS and small cell networks are contributing to a projected $157 billion in U.S. telecommunication carrier capital expenditures by 2021.

Management

CEO Roger Ponder has served as a director of Spectrum Global Solutions since April 2017. Ponder served as President/CEO of Summit Capital Advisors, LLC, and Summit Broadband, LLC a provider of consulting services to private equity and institutional banking entities in the telecommunications, cable and media/internet sectors. He also served as a member of the board of directors of InterCloud Systems, Inc. and served as its Chief Operating Officer from November 2012 to March 2015. Prior to that Ponder retired from Time Warner Kansas City Division as President/CEO. Ponder brings extensive business development, strategic planning and operational experience to the Company.

Keith Hayter is President of Spectrum Global Solutions and has served as a director of the Company since April 2017. Hayter has also served as the Chief Executive Officer and President of AW Solutions Inc. and AW Solutions Puerto Rico LLC since November 2006. He was Vice President and General Manager of Alcoa Wireless Services from 2001-2006. Hayter served in both the U.S. and British armies and brings extensive multi-national experience in the start-up, development, management and growth of companies in the telecommunication, engineering and construction industry.
